Collaboration Agreement Summary

This is a plain-language summary derived from the Collaboration Agreement. It is not the agreement itself and does not replace the signed agreement. If there is any difference between this summary and the signed agreement, the signed agreement governs. Read the full text: Collaboration Agreement.

Membership status

Membership is free. Membership alone does not create employment, a job offer, company ownership, or equity, and it does not guarantee a project, payment, or revenue. Calling someone a "collaborator" does not by itself determine the legal classification of the relationship; the actual facts, degree of control, compensation, age, and applicable law matter.

Role, tasks, and commitment

A skill-group placement is an organizational method, not a guarantee of a particular project, workload, promotion, or payment. Specific duties, deliverables, deadlines, quality requirements, tools, and scope are documented in a project brief or written task assignment. Members state realistic availability, accept only tasks they reasonably believe they can complete, make a good-faith effort on agreed deadlines, communicate progress and blockers promptly, and honour commitments made for accepted tasks.

Learning and mentorship

Where resources and mentors are available, Inov8ing may offer practical learning through project participation, materials, feedback, and mentorship. No particular course, certification, number of mentoring hours, or employment outcome is guaranteed unless expressly promised in a separate written arrangement.

Projects and revenue sharing

Each revenue-sharing project has its own written schedule, agreed and accepted before the relevant work begins: participants, revenue included, permitted cost deductions and shared-cost allocation, the calculation method, the contributor's agreed share, reporting frequency, payment timing, and how refunds, chargebacks, taxes, and unpaid invoices are treated. If a project earns nothing, there may be nothing to distribute unless a separate compensation agreement applies. General statements about the business model do not establish a specific percentage or guarantee revenue. See the detailed revenue-sharing explanation and the full revenue-sharing agreement.

Work product and intellectual property

A separate Intellectual Property and Work Product Schedule must be completed before substantive project work begins. For company project work, the intended arrangement is that Inov8ing owns the product and its intellectual property to the extent a valid written assignment or licence can lawfully provide that result. Pre-existing work stays with its owner unless a separate written agreement expressly states otherwise, and third-party materials are governed by their own terms. If Inov8ing only distributes a member-owned product, a separate time-limited distribution agreement governs that arrangement, and distribution stops at expiry unless renewed. See the IP agreement and the distribution agreement.

Confidentiality and access

Members must protect confidential company and client information, accounts, and credentials, and must not share passwords, authentication codes, API keys, or client data with unauthorized people. Access is removed when it is no longer needed, including when membership ends. See the Code of Conduct.

Leaving

The proposed rule is seven days' written notice before voluntarily leaving, subject to the final written agreement and applicable law, with reasonable handover of active tasks, files, and access. On leaving, future revenue-sharing eligibility ends only to the extent this is clearly set out in the applicable project agreement and is lawful; amounts already earned or calculated but not yet paid must be identified and resolved under that schedule and applicable law, and must not be forfeited merely because a person leaves. Nothing here should be read as avoiding payment of an amount already due under a signed agreement or applicable law.

Members under 18

People under 18 may express interest, but they must not be treated as having entered a binding collaboration, financial, intellectual-property, or other agreement until the required legal capacity, parental/guardian authorization, supervision, and other safeguards have been confirmed under applicable law. That process must be designed and approved by counsel before any under-18 applicant is accepted into work.

Changes

Changes to the agreement must be recorded in writing and accepted by both parties where required. Posting a revised website policy does not automatically change a project agreement already accepted. The founder retains authority over company direction, finances, and organizational policies; project teams may manage their assigned work within approved responsibilities and budgets.
