Revenue Sharing — Detailed Explanation

This explanation is drawn from the Project Revenue-Sharing Agreement and Schedule. It is a summary, not the agreement itself: for any project, the signed schedule for that project governs.

How it works

Inov8ing uses project-based revenue sharing. For each project that offers sharing, a written schedule is agreed and accepted before work begins and identifies: the participating contributors, the work expected, how contributions will be assessed, which costs are eligible for deduction, how operational costs are allocated, the revenue-share calculation, and when payment can be made.

Revenue actually received
− agreed eligible project expenses
− the agreed allocation of operational costs
= amount available for distribution
→ distributed among eligible contributors using the agreed project terms

What counts as revenue

Only money actually received and cleared from the revenue sources listed in the project schedule counts. Excluded unless expressly added: unsigned proposals and unpaid invoices, estimated or forecast revenue, uncollected platform balances, loans, investment capital, refundable deposits, and revenue from unrelated projects. The distributable amount may be zero or negative for a period; no distribution is due from a negative amount unless a separate lawful written arrangement expressly states otherwise.

What may be deducted

Only deductions listed in the schedule, recorded and supported by reasonable documentation: approved direct project costs (tools, hosting, API use, licensed assets, approved advertising, payment and platform fees, refunds and chargebacks) and an agreed allocation of shared operating costs. The allocation method and any cap must be stated in the schedule; an undefined or unlimited share of general overhead must not be deducted, and a cost must not be deducted twice or charged to multiple projects beyond its actual amount. Personal expenses, unapproved purchases, penalties caused by a party's misconduct, and unrelated project costs are not deductible unless expressly and lawfully agreed.

How shares are set

There is no universal percentage and no automatic equal split. The allocation method, the total allocated to contributors, any company-retained amount, and any reserve must be stated in the schedule and must reconcile, and the allocation must be agreed before substantive work begins. A project lead or founder must not retrospectively change a contributor's agreed share unilaterally, except where the original agreement clearly and lawfully permits a specified adjustment. Contribution criteria, who assesses them, and how disputes are raised must be defined in advance.

Financial transparency

Project-level financial reports will show the reporting period, receipts received and their source category, refunds, chargebacks, and excluded amounts, each approved deduction and its amount, the shared-cost allocation method, the distributable amount, the contributor allocation and calculation, and amounts paid, unpaid, withheld, or carried forward with reasons. Reporting frequency, delivery method, and payment timing are set in each project's schedule.

Leaving and subscription revenue

A contributor who wishes to leave should give the notice required by the Collaboration Agreement, currently intended to be seven (7) days. On departure, the project account is reconciled through the agreed cutoff date; revenue-sharing eligibility after the cutoff is governed by the signed schedule, and earned but unpaid amounts and disputed calculations must be identified and resolved under that schedule and applicable law. For subscription products, the schedule must state how renewals after a contributor leaves, refunds, chargebacks, and revenue received after the project ends are treated. The intended general policy is that future revenue-sharing eligibility ends when membership or the relevant agreement ends, but only to the extent clearly set out in the signed schedule and lawful; it must never be read as waiving amounts already earned or rights that cannot lawfully be waived.

What is not promised

Member-owned products

If Inov8ing only distributes a member-owned product, that arrangement is governed by a separate, time-limited distribution agreement, reviewed before expiry. If no new agreement is signed, distribution stops at expiry. Ending membership does not automatically end that separate distribution agreement; it continues until its own expiry or termination terms apply.

Still to be finalized per project (not stated as settled site-wide rules here)
